General Terms of Service
Version 1.3 · effective October 27, 2026
Tiq · Mendoza, Argentina. Email: hello@tiqstudio.com.ar
These terms apply to every project and service Tiq provides to business clients (agencies and companies), together with the proposal and the Annex of each project. If they conflict, the proposal prevails first, then the Annex, and then these terms. For agencies, the Master Services Agreement and each Statement of Work take the place of the proposal.
If you are hiring Tiq as a consumer (for personal use, not for a business), please let us know before accepting: a different set of terms applies.
Definitions
- Business days: Monday to Friday, excluding national holidays in Argentina.
- Stage: each part of the project with its own delivery (for example, design, development and launch), as set out in the Annex.
- Adjustment: a change to something that already exists (text, color, order, size).
- Change request: a section, page, feature or integration that is not in the Annex.
- Acceptance: the approval of a stage or of the project, express or tacit (clause 4).
- Fixed price: the total price of the proposal does not change as long as the scope does not change.
- Reply within 1 business day: Tiq replies to every message from the Client within 24 business hours of receiving it. Replying means confirming receipt and setting the next step; resolving the request may take longer.
1. Scope and exclusions
1.1 Tiq delivers what the project Annex describes: sections, pages, features, integrations, languages and deliverables. Anything not in the Annex is not included.
1.2 Unless the Annex says otherwise, the following are not included: copywriting, photography, translations, bulk content loading, data migration, advertising campaigns, ongoing SEO, legal texts for the site (privacy policy, terms), email accounts, paid third-party licenses, hosting and domain.
1.3 Anything not in the Annex is quoted separately under clause 2.
2. Change requests
2.1 Change requests are made in writing.
2.2 Tiq replies within 3 business days with the price and the effect on the timeline. The price is either a fixed amount for the change or the hourly rate stated in the proposal.
2.3 Tiq does not start a change until the Client approves it in writing. Without approval, the original scope applies.
2.4 If Tiq finds something technically necessary that could not be foreseen, it notifies the Client right away, with its estimated cost, before doing it.
3. Included revisions
3.1 Each stage includes 2 rounds of revisions. A round is a single, complete list of adjustments sent by one person on behalf of the Client.
3.2 An adjustment changes something that already exists. A new section, page or feature is a change request.
3.3 Additional rounds are charged under clause 2.
3.4 An approved stage is not reopened: changing it is a change request.
4. Delivery and acceptance
4.1 Tiq delivers each stage on a staging URL or in the repository, and notifies the Client in writing.
4.2 The Client has 5 business days to review it and send its comments in a single message. A comment is valid if it shows that something does not meet the Annex.
4.3 The Client undertakes to reply within that period. If it does not reply, the stage is accepted.
4.4 Publishing the site or using it with real users also counts as acceptance.
4.5 Minor details that do not prevent using the site do not hold up acceptance: Tiq fixes them under the warranty.
5. Payments
5.1 Prices are in United States dollars (USD) and are paid in USD, by bank transfer to the account Tiq indicates with each payment request.
5.2 Unless the proposal says otherwise, the price is paid as follows: 50% when accepting the proposal (deposit), 30% when the design is approved and 20% before launch. For a landing page or a small job: 50% and 50%.
5.3 Tiq schedules the project and starts once the deposit has been received.
5.4 Each payment is due 5 calendar days after it is requested.
5.5 Amounts are net: bank fees, intermediary bank charges and any withholding taxes in the Client’s country are borne by the Client. Tiq must receive the full invoiced amount.
5.6 No payment is conditional on the Client being paid by a third party.
5.7 The site goes live and the domain is pointed once the final payment has been received.
6. Late payment
6.1 If a payment is not received by its due date, the Client is in default without the need for notice.
6.2 From that date, the outstanding balance accrues interest of 1% per month, without compounding.
7. Suspension for non-payment
7.1 If a payment is more than 7 calendar days late, Tiq may suspend work, support and deliveries, with written notice.
7.2 Deadlines are extended for the whole suspension period, plus 5 business days to resume.
7.3 If Tiq manages the hosting or the maintenance and the delay exceeds 30 days, Tiq may suspend that service with 15 days’ prior notice. Tiq does not delete the Client’s files or data: it keeps them for 30 days from the suspension so the Client can recover them once up to date.
8. Code and intellectual property
8.1 Tiq assigns to the Client all economic rights in the work developed specifically for the project, effective upon receipt of full payment. Until then, those rights remain with Tiq.
8.2 Upon full payment, Tiq delivers the code, the source files and the access credentials it manages, within 5 business days.
8.3 Before full payment, the Client may view and test the work in the staging environment, but may not publish it or use it commercially. If the Client asks to publish it earlier, it is under a provisional license that ends if a payment is more than 30 days late.
8.4 Tiq’s pre-existing components (templates, libraries, tools) remain Tiq’s. The Client receives a perpetual, non-exclusive license to use them in this project.
8.5 Third-party software, fonts, images and components are governed by their own licenses.
9. Warranty
9.1 For 30 calendar days from final acceptance, Tiq fixes at no cost any errors that prevent the site from working as described in the Annex.
9.2 The warranty does not cover: changes made by the Client or third parties; updates to third-party software or components not made by Tiq; changes to the hosting, the domain or external services; browsers or devices other than those listed in the Annex; content added after delivery.
9.3 Lighthouse 90+ (for new websites built by Tiq):
a) The pages listed in the Annex (the home page and up to 3 more pages) are measured in all four Lighthouse categories (Performance, Accessibility, Best Practices and SEO), on mobile.
b) Measurement uses PageSpeed Insights, with the Lighthouse version current on the delivery date, taking the median of 5 runs.
c) Measurement takes place at final delivery, on the production hosting, with the content and external services listed in the Annex.
d) If a category scores below 90, Tiq fixes it at no cost within 10 business days and measures again.
e) The warranty does not cover drops caused by content, images, plugins, scripts or services added after delivery (chats, pixels, maps, videos, ads), by hosting that does not meet the requirements in the Annex, or by later changes Google makes to how the score is calculated.
f) If the Client requests something that prevents reaching 90, Tiq warns it in writing before doing it, with the expected score. If the Client confirms, the warranty is adjusted to that score.
10. Limitation of liability
10.1 Tiq is liable for direct damages caused by its breach, up to the total amount the Client paid for the project (for maintenance: the amount paid in the last 12 months).
10.2 Tiq is not liable for loss of profits, sales, data or opportunities, or for indirect or consequential damages.
10.3 Tiq is not liable for outages, failures or changes of third-party services (hosting, domain, payment gateways, APIs, plugins, Google).
10.4 The Client keeps its own backups, unless the maintenance plan includes them.
10.5 This clause does not apply to damages caused by willful misconduct.
11. Content provided by the Client
11.1 The Client provides texts, images, logos, videos and data, and warrants that it has the right to use them on the site.
11.2 If a third party makes a claim about that content, the Client is responsible and holds Tiq harmless.
11.3 If Tiq sees something that appears to lack permission (for example, a watermarked photo), it says so and does not publish it until the Client resolves it.
11.4 The Client delivers content on the dates set in the Annex. If it is late, Tiq’s deadlines move by the same amount of time, and Tiq may use placeholder content.
12. Hosting, domain and third parties
12.1 Client-managed: hosting, domain and external service accounts are set up in the Client’s name and paid by the Client. Tiq works with collaborator access that the Client grants and can revoke.
12.2 Tiq-managed: Tiq sets up and manages the hosting as part of maintenance. The domain is always registered in the Client’s name.
12.3 Third-party services are governed by their own terms and prices. Tiq is not liable for their outages or for changes to their prices or conditions.
12.4 If Tiq pays for a third-party service on the Client’s behalf, the Client reimburses it against receipt.
12.5 At the end of the relationship, Tiq transfers the access it manages and the Client changes the passwords.
13. Confidentiality and data
13.1 Each party keeps the other party’s non-public information (business, access credentials, code, prices, clients) confidential and uses it only for the project.
13.2 This obligation lasts for the term of the contract and 3 years after it. For access credentials and personal data, it does not expire.
13.3 Information that was already public, that the party already lawfully had, or that a law or court orders to be disclosed is not confidential.
13.4 Tiq may keep using the general know-how and techniques it applies, without disclosing the Client’s information.
13.5 If Tiq accesses personal data of the Client’s users, it uses it only for the project and on the Client’s instructions, does not disclose it to anyone, and deletes it at the end, unless the Client authorizes in writing to keep it. If the Client is in the European Union, the parties sign the Client’s data processing agreement (GDPR, article 28).
14. Termination and pause
14.1 The Client may terminate the project at any time with written notice. In that case it pays: a) the milestones already due; b) the work done in the current stage, in proportion to its progress; c) third-party costs already committed; and d) 15% of the amount not yet invoiced, for the profit Tiq loses.
14.2 Tiq may terminate the contract if the Client does not pay within 15 days of being notified, or if it materially breaches another obligation, with written notice. The Client pays the same as in 14.1.
14.3 Upon any payment, Tiq delivers the work done up to that point and assigns the rights to it.
14.4 Pause: if the Client does not reply or deliver what it should for 30 days, Tiq may pause the project and invoice the current stage according to its progress. Resuming depends on Tiq’s schedule and, after 90 days, may require a new quote.
14.5 Maintenance: it is monthly and renews automatically. Either party may end it with 15 days’ notice.
15. Validity of the offer
15.1 Each proposal is valid for 15 calendar days from receipt. After that, Tiq may update the price and dates.
15.2 Delivery dates are confirmed once the deposit has been received.
16. Force majeure
16.1 Neither party is liable for a delay or failure caused by an event it could not foresee or, if foreseen, could not avoid: disasters, general power or internet outages, government measures, a general outage of a cloud provider, or serious illness of the person in charge of the project.
16.2 The affected party gives notice right away. Deadlines are extended for as long as the event lasts.
16.3 If it lasts more than 30 days, either party may terminate the contract. The Client pays for the work done up to that point.
16.4 Lack of funds and exchange rate fluctuations are not force majeure.
17. Notices
17.1 Notices are valid when sent to these email addresses: Tiq, hello@tiqstudio.com.ar; the Client, the one stated in the proposal.
17.2 Day-to-day communication may happen on WhatsApp, Slack or another chat. Approvals, change requests, payment notices and termination are valid only by email.
17.3 An email sent on a business day before 6 p.m. (Argentina time) is deemed received that day; otherwise, on the next business day.
18. AI-assisted graphics and portfolio
18.1 Graphics are produced with AI tools on paid plans. Tiq assigns to the Client whatever rights it has in them, but does not guarantee exclusivity or that they can be registered as a trademark. Logos and brand identities are not made with AI.
18.2 Tiq may show the published work (screenshots, link, general description, the Client’s name and logo) on its website and social media, without disclosing confidential information. The Client may ask in writing that it not be shown.
18.3 For white-label projects, Tiq shows nothing without the agency’s written authorization.
19. Governing law, jurisdiction and language
19.1 This contract is governed by the laws of the Argentine Republic.
19.2 The parties submit to the ordinary courts of the City of Mendoza, Argentina.
19.3 This contract is written in English, which prevails over any translation.
